Welcome to Metch!
These Terms of Service (this “Agreement”) are provided by the Metch Team (“Team” or “Site” or “Application”) and users of Metch and its related services (“You” or “Member”). (“Company” or “Site” or “Application”) (including applications for tablets and other smart devices) and users of Metch and its related services (“You” or “Member”), and applies to communications with other Members as well as to Metch provides other online services (“Services”). By clicking “Register” on the registration form, you accept all of the terms and conditions of this Agreement and your registration with Metch.
If you do not agree to the terms and conditions of this Agreement, do not click on the “Register” button; once you click on the button, you will be bound by the terms of this Agreement, whether you are registering for or purchasing the Service, which may be changed by Metch at any time, effective as of the date of entry into force of these Terms. Such notices shall be deemed to have been sent to you when we post the most recent version of this Agreement on our website or when we update the Application with the most recent version of this Agreement.
1. Eligibility
By registering on Metch, you represent and warrant that
a. You are at least 18 years of age;
b. You are not a person prohibited from using the Services under the laws of the United States or any other applicable jurisdiction;
c. you will comply with this Agreement and all applicable local, state, national, and international laws, rules, and regulations; and that you have never been convicted of a felony or indictable offense (or an offense of comparable gravity), a sex offense, or any offense involving violence, and that you are not required to register as a sex offender on any state, federal, or local sex offender registry.
Membership in the Services and registration on Metch are void where prohibited. By using Metch, you represent and warrant that you have the right, authority, and capacity to enter into and comply with all of the terms and conditions of this Agreement. All information provided during registration must be accurate, truthful and complete in all respects. If the identification provided is inaccurate or incomplete, we may, in our sole discretion, suspend the account until identification is successfully completed. You may not authorize others to use your membership or transfer or otherwise assign your account to any other person or entity. You must keep your password and all account details confidential as you are responsible for the use of the services available through your account and for any other activity that occurs on your account. Any transactions on your account will be valid if your username and password are entered correctly.
2. Terms
You can create an account by registering manually or by using your Google or Facebook (collectively, “Third Party Accounts”) login details. If you create an account using your Third Party Account login details, you authorize us to access, display and use certain information in your Third Party Account. For more information about what information we use and how we use it, please see our Privacy Policy.
You may terminate your membership at any time for any reason, effective on the date Metch receives your written notice of termination via email at metchofc@mail2world.com.
Metch may terminate your membership for any reason, with or without explanation, effective as of the date notice is sent to the e-mail address you provided during registration or any other e-mail address you provided to Metch. If Metch terminates your membership without cause, you will receive a prorated refund of any paid fees that Metch receives from you. If your membership in Metch is terminated for breach of this Agreement or at your request, you will not be entitled to a refund of any unused fees for the use of Metch or its additional services, and Metch will not be liable. Paid services utilized are non-refundable, except as otherwise provided in this Agreement. This Agreement will remain in full force and effect even if your membership is terminated.
3. Members may not use the platform for commercial purposes
Metch is for the personal use of individual members only and may not be used for any commercial activity. Organizations, companies, corporations and/or other entities are not allowed to become Members and use the Services or the Website/Application for any purpose. Illegal and/or unauthorized use of the Site/Application, including the collection of a Member's username and/or email address, electronically or otherwise, for the purpose of sending unsolicited emails and the unauthorized construction of or linking to the Site/Application, will be investigated and appropriate legal action may be taken, including, but not limited to, civil, criminal and injunctive remedies. You hereby grant, represent and warrant that you will not create any databases, websites, applications, software, legal entities and services that compete with Metch. You further warrant and guarantee that you will not use the Site/Application for any commercial purposes, and/or send or receive funds through the Site/Application, and/or create an account using a false user name. You further warrant and guarantee that you will not be compensated for your use of the Site/Application and the services provided on the Site/Application. Such activities will be investigated and your membership may be terminated and appropriate legal action may be taken, including but not limited to civil, criminal and injunctive remedies.
4. Permitted Use
Subject to your compliance with the terms and conditions set forth in this Agreement, Metch grants you a personal, limited, non-commercial, non-exclusive, non-sub-licensable, non-transferable, revocable license to access and use our Services solely on a personal computer or other smart device and solely for your personal use. If you create a Metch account by connecting to a third-party platform (e.g., Google Play, Apple Store), you will be subject to the rules of use set forth in the Terms of Service for each third-party platform as of the date of this Agreement. The sole purpose of this license is to enable you to use and enjoy the benefits of the Services in the manner permitted by these Terms. You may not copy, modify, distribute, sell or rent any portion of our Services, or reverse compile the software or attempt to extract the source code, except where such restrictions are prohibited by applicable law or where you have obtained our written permission.
5. Intellectual Property Rights
Metch owns or otherwise retains all intellectual property rights in the Site/Application and Services. These rights include, but are not limited to, database rights, copyrights, design rights (whether registered or unregistered), patents, trademarks (whether registered or unregistered) and other similar rights wherever they may exist in the world, as well as the right to apply for protection of these rights from Metch and its licensors. You may not reproduce, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information, except to the extent that it is in the public domain or for which you have obtained written permission. For anything not expressly authorized in this Agreement, such as commercial sales, reproduction and permitting any third party to use Metch, you shall obtain a separate official written license from Metch.
6. Posted Content
You agree that any content, messages, photos, videos, audio and video calls, or personal data (collectively, “Content”) shall be subject to the guidelines set forth in our Metch Terms of Service as updated from time to time.
You understand and agree that Metch may, in its sole discretion, store for review and remove any Content that it determines, in its sole discretion, may be offensive, illegal, or may violate the rights of, or harm or threaten the safety of, other Members or any third party pursuant to this Agreement.
* You are solely responsible for Content posted or displayed (“Posted”) through the Site/Application or transmitted to other Members.
By posting Content to any public area of the Site/Application, you automatically grant, represent, and warrant that you have the right to grant Metch an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, reproduce, perform, display, and distribute such information and Content, and to prepare derivative works from or incorporate into other works such information and Content. and sublicense to grant and authorize such rights.
* The following is a partial list of illegal or prohibited content on the Site/Application Metch reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates these Terms, including, without limitation, removing the offending communication from the Service and terminating the membership of such violator. Prohibited content includes, but is not limited to, the following:
(a) Content that is patently offensive to the online community, such as the promotion of racism, bigotry, hatred, or any form of physical harm to any group or individual;
(b) Harassment or advocacy of harassment of others;
(c) Involves the dissemination of “spam”, “chain letters” or unsolicited mass mailings or “junk mail”
(d) promotes information that you know to be defamatory, false, misleading, or promotes illegal activities or abusive, threatening, obscene, libelous or defamatory conduct;
(e) Advertise illegal or unauthorized copies of others' copyrighted works, such as by providing pirated computer programs or links, providing information that bypasses manufacturer-installed copyrighted devices, or providing links to pirated music or pirated music files;
(f) Containing pages that are restricted or password-only, or hidden pages or images (pages or images that are not linked to other accessible pages);
(g) Publicly display inappropriate content or material (e.g., involving nudity, bestiality, pornography, graphic violence, or criminal activity);
(h) Providing material that sexually or violently exploits a person under the age of 18, or solicits personal information from anyone under the age of 18;
(i) Providing instruction in illegal activities, such as manufacturing or purchasing illegal weapons, invading the privacy of others, or providing or creating computer viruses;
(j) Solicit passwords or personally identifiable information from other users for commercial or illegal purposes;
(k) Engage in commercial activities and/or sales, such as contests, sweepstakes, bartering, advertising and pyramid schemes, without Metch's prior written consent.
* You must use the Services in a manner that complies with all applicable laws and regulations. Your content must comply with applicable international, national and local laws and regulations.
* You may not include any telephone numbers, street addresses, real names, URLs or e-mail addresses in your profile. You may not include any URLs, e-mail addresses, or telephone and fax numbers in your communications with other members.
* You may not advertise or solicit other members to buy or sell any products or services through the Services. You may not send any chain letters or spam to other Members. Although Metch cannot monitor the behavior of its Members outside of the Site/Application, it is also a violation of these rules to use any information obtained from the Services to harass, abuse, or harm another person, or to contact, advertise to, solicit, or sell any product or service to a Member without the Member's express prior consent. In order to protect its Members from such advertising or solicitation, Metch reserves the right to limit the number of e-mails a Member may send to other Members in a 24-hour period, and Metch may, in its sole discretion, limit the number of e-mails it deems appropriate.
* You may not collect Metch Data from authorized and unauthorized areas through automated means (robots, spiders, crawlers, or the like) or by creating fake user accounts or anonymous proxy servers or the like, or by circumventing any technical measures to prevent prohibited activities on Metch. You may not collect data from authorized areas of Metch by any other means, including manual data collection.
* Your communications through the Site/Application may be logged in order to ensure the quality of the services provided.
* Metch reserves the right, in its sole discretion, to investigate and take appropriate legal action against any person who violates the provisions of this section, including, without limitation, removing the offending communication from the Services and terminating the membership of such violator.
7. Services Provided by Third Parties
* In order to facilitate your use of Metch, the Service may utilize third-party services, and the results of such use and access are provided by third parties (including, without limitation, third-party-provided services and content that you access directly through the Service, or third parties accessing such third-party-provided services and content through Metch). In addition to the terms of this Agreement, your use of third-party-provided services on Metch devices is subject to the third-party's user agreement, and Metch cannot guarantee the security, accuracy, effectiveness, or other risks associated with third-party-provided services and content, which are provided at your own risk and responsibility.
* Regardless of whether the third party services are pre-installed on Metch's device or you order or subscribe to them yourself, you understand and agree that Metch disclaims all warranties, express or implied, with respect to the security, accuracy, effectiveness and other uncertain risks of the services and content provided by the third party.
* Any disputes arising between you and such third party service providers shall be resolved between you and the third party, if any, at your sole discretion and responsibility.
8. Copyright Policy
You may not publish, distribute or reproduce in any way any copyrighted material, trademarks or other proprietary information without the prior written consent of the owner of such proprietary rights. Without limiting the foregoing, if you believe that your work has been copied and posted on the Services in a way that constitutes copyright infringement, please provide Metch's Copyright Agent with the following information: an electronic or physical signature of an authorized person acting on behalf of the holder of the copyright interest; a description of the copyrighted work that you claim has been infringed; a description of where the material that you claim is infringing on such copyrights is located on the Site/Application your address, telephone number, and email address; a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and a statement by you, made under penalty of perjury, that the foregoing information in your notification is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
9. Member Communications
You are solely responsible for your interactions with other Metch Members, and Metch reserves the right, but has no obligation, to monitor disputes between you and other Members. In addition, Metch is not responsible for any Member's expectations, promises, or the truthfulness of any information.
10. Privacy Policy
When you use the Services, Metch may need to collect personal data in order to provide you with the Services, Metch takes the protection of your personal data very seriously and has developed the Metch Privacy Policy, which details how Metch collects, uses, stores, transfers and discloses your personal data. You may refer to the Privacy Policy for details, which is an integral part of this Agreement. By downloading, installing or using the Services, you agree to be bound by the terms of this Agreement and its Privacy Policy, and that Metch will protect your privacy in accordance with this Privacy Policy.
11. Vendors
In order to provide the Services, Metch may purchase Services from various third parties and affiliate marketing partners (collectively, “Suppliers”). Suppliers are independent contractors and are not agents or employees of Metch, and Metch shall not be liable for the willful or negligent acts and/or omissions of any Supplier or any of its employees, agents, servicers, or representatives, including, without limitation, for their failure to provide the Services, or for any part thereof, or for any inadequacy thereof. Under the terms of the agreement with the Supplier, Metch may not provide the Supplier's contact information. Services provided by Vendor include, but are not limited to, the following:
* Vendors shall provide complete, accurate and legal information required to register with Metch in accordance with the terms of the agreement prior to member registration.
* Each Supplier may provide translation services to registered Members and shall have access to all communications of such Members.
* Suppliers shall provide additional services in accordance with the terms of their agreement with Metch.
* Any additional services requested by a Metch Member that fall within the scope of the Supplier's activities but are not defined in the terms of the agreement between Metch and the Supplier may be handled by the Supplier but will not be automatically granted.
Metch is not responsible for the quality of any additional services provided by the Supplier. The Site/Application and Services are provided “as is” and Metch expressly disclaims any warranty of fitness for a particular purpose or non-infringement, and Metch cannot guarantee and does not promise that the use of the Site/Application and/or the Services will result in any particular outcome.
12. Membership
Metch does not affect the relationship between website/application members. Members may terminate their membership in Metch at any time, and suspension of Metch membership is subject to the following:
* If a Member is no longer interested in the Services, the Metch Customer Support Administrator shall review communications between the Member and other Members with whom the Member has been corresponding (“Correspondents”).
* If a Member requests the deletion of his or her personal data from Metch for unspecified personal reasons, the Correspondent shall not be entitled to receive any information regarding the deletion of the Member's personal data as this would be a violation of Metch's Privacy Policy.
* A Member's personal data may be deleted from the website/application if the Member is found on an anti-fraud website or if we receive credible evidence from another Member of the Member's unlawful activity, provided that Metch determines, in its sole discretion, that the information provided is material and irrefutable.
13. Indemnification
You shall indemnify, release, and hold harmless Metch, its parents, subsidiaries, and affiliates, and all of their officers, directors, agents, and employees, and any party acting on behalf of Metch, from and against any and all third-party claims, suits, liabilities, losses, damages, judgments, costs, and expenses arising out of or related to (i) any violation of this Agreement by you or anyone else in connection with your or anyone else's use of the Metch Services or (i) your or any other person's use of the Metch Services or products appearing on the Metch Services is not in accordance with the terms of this Agreement; (ii) a breach of this Agreement by you or any person you have permitted to use the Metch Services; or (iii) a violation by you or any person you have permitted to use the Metch Services or products appearing on the Metch Services of any law, regulation, or right of any third party.
14. Disclaimer of Warranties
Metch provides the Services on an “as is” basis and disclaims all warranties, express, implied or statutory, in any communication with its representatives, except in connection with the Services, and Metch expressly disclaims any implied warranties of merchantability or fitness for a particular purpose. In addition, Metch does not warrant that your use of the Services will be secure, uninterrupted, always available, or error-free, that the Services will meet your requirements, or that any defects in the Services will be corrected.Metch assumes no responsibility for, and makes no warranty of, connectivity or availability.
Each Member must agree to this Agreement. In addition, other Members or users (including unauthorized users or “hackers”) may post or transmit offensive or obscene material through the Service, and you may be inadvertently exposed to such offensive or obscene material. Others may also obtain personal information about you as a result of your use of the Service. Others may use your information for purposes you do not intend, and Metch is not responsible for the use of any personal information you disclose on the Service. Please choose carefully the type of information you post on the Service or to others. We cannot guarantee that specific members will use their personal data privately, but we will do everything possible to prevent such behavior.
Metch is not responsible for the acts or omissions of other Members or Users (including unauthorized Users), regardless of the form of action taken, and whether or not such acts or omissions occur during the use of the Services.Metch is not responsible for any incorrect or inaccurate content on or in connection with the Website/Application, whether caused by the Website/Application User or Member or any device or program associated with or used in connection with the Services.Metch is not responsible for the conduct of any Website/Application User or Member of the Services, whether online or offline. Application user, Member or any equipment or programming associated with or used in connection with the Services.Metch is not responsible for the conduct of any user of the Website/Application or Member of the Services, whether online or offline.Metch is not responsible for any errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication line failures, theft or destruction or unauthorized access to, or alteration of, User's or Member's communications. Metch is not responsible for any errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication line failures, theft or destruction or unauthorized access to, or alteration of, user or member communications. Metch is not responsible for any failure of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, e-mail or players due to technical problems or traffic congestion on the Internet or at any website/application or combination thereof, which includes injury or damage to Users' and/or Members' or any other person's computers, as well as any damage to Users' and/or Members' or any other person's computers resulting from participation in or downloading of materials in connection with the Website and/or the Services. and/or Services-related materials. In no event shall Metch be liable to any person for any loss or damage, including personal injury or death, arising out of the use of the Site/Application or the Services, any content posted on the Site/Application or transmitted to Members, or any interaction between users of the Site/Application, whether online or offline.
15. Limitation of Liability
except in jurisdictions where these terms are limited, in no event shall Metch be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits arising out of your use of the site/application or services. as well as liability for damages resulting from loss of data, loss of programs, cost of procurement of substitute services, or interruption of service, even if Metch is aware of or has been advised of the possibility of such damages. Metch is not responsible for any activities outside of our services (including, but not limited to, costs associated with travel, deliveries, meetings, etc.). These costs will be borne by you. Notwithstanding anything to the contrary in this Agreement, Metch's liability to you (for any reason and regardless of the form of action taken) will at all times be limited to the amount, if any, paid by you for use of Metch's services during your membership.
16. The utilization of Metch by minors is categorically prohibited.
Metch rigorously adheres to the provisions of the CSAE. Persons under the age of 18 are precluded from availing any of Metch's services. Metch unequivocally condemns any acts that imperil the safety of minors, including but not limited to entrapping, exploiting, abusing, or assaulting; self-harm, suicide, or any conduct that may inflict harm upon oneself or others is strictly proscribed. In the event that a minor is detected during the usage of Metch, kindly employ the reporting mechanism furnished by us or furnish feedback through our customer service email address (metchofc@mail2world.com). Upon verification, the Metch team will expeditiously and forcibly terminate the minor's employment of Metch's services.
17. Indemnification
You agree to indemnify and hold Metch, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services in violation of this Agreement. and/or any allegation that any content you submit to Metch or transmit to the Site/Application infringes or otherwise violates the copyrights, trademarks, trade secrets, or other intellectual property or other rights of any third party; and/or any loss, liability, claim, or demand arising out of any breach of this Agreement and/or any breach of your representations and warranties set forth above. This indemnity shall apply without regard to the negligence of any party (including any indemnified person).
18. General provisions
1. Headings. The headings of all provisions of this Agreement are for reference purposes only, have no actual meaning, and shall not be relied upon in construing the meaning of this Agreement.
2. Severability. If any provision of this Agreement is held invalid or for any reason unenforceable by any judicial or administrative authority, such holding shall not affect the enforceability of the remaining provisions of this Agreement, which shall continue in full force and effect and shall be construed in accordance with its terms.
3. Language. If this Agreement is entered into in English and other languages. In the event of any discrepancy, the English version shall prevail.
4. No Waiver. Metch's failure to enforce any provision of the Metch Service at any time, or any failure to require you to enforce any provision of the Metch Service at any time, shall not be construed as a waiver of that provision now or in the future, nor shall it affect in any way Metch's right to enforce that provision thereafter. An express waiver of any term, condition or requirement of the Service shall not constitute a waiver of any future obligation to comply with such term, condition or requirement.
5. Entire Agreement. This Agreement constitutes the entire agreement between you and Metch with respect to your use of the Metch Software and supersedes any prior agreements between you and Metch with respect to your use of the Metch Software. You may also be subject to additional terms and conditions that may apply when you use or purchase open source software, third party content, or other Metch services.
